JGA acted as legal advisor in the acquisition transaction of Portal PZP by Marketplanet.

JGA law firm acted as legal advisor to ‘Otwarty Rynek Elektroniczny’ S.A., operating under the brand Marketplanet, in the transaction related to the acquisition of 100% of shares of Portal PZP sp. z o.o. Both companies operate in the market of tools supporting tenders and the entire procurement process in public administration entities.

JGA law firm provided legal services to the buyer, ‘Otwarty Rynek Elektroniczny’ S.A., both in the course of the pre-transaction phase and throughout the whole transaction itself. During the pre-transaction phase, JGA law firm’s legal services included the process of carrying out legal and tax due diligence of Portal PZP sp. z o.o.

During the transaction phase, JGA law firm’s legal advisory focused on preparing the transaction documentation – the share purchase agreement, with a particular emphasis on ensuring the proper transfer of access to software and software components, source code repositories, and technical documentation.

On the JGA side, the legal due diligence project of Portal PZP sp. z o.o. was coordinated by Joanna Ostrzewska. The research team also included: Natalia Kącka, Dagmara Księżyk-Ryczko, Jan Sluzalek, Michał Burzyński, and Igor Gajewski. The transaction stage was conducted by Grzegorz Morawiec.
