JGA, acting as a legal advisor, assisted Silesia Smile in the transaction of incorporating a dental clinic in Katowice into the Medicover group

Lawyers from JGA Law Firm provided legal advice to Silesia Smile limited liability company limited partnership with its registered office in Katowice (as the seller) in the sale transaction of a dental clinic to Medicover limited liability company, with its registered office located in Warsaw. Prior to the transaction, the selling company operated one of the most renowned dental clinics in Katowice, specialising in implantology procedures, which currently operates within the Medicover group.

The sale transaction was conducted and finalised in late December 2018. The scope of JGA Law Firm’s advisory services included, in particular, transaction structuring and negotiation of transaction documentation, including the agreement concerning the sale of the enterprise. The transaction differed from typical processes of this kind, as the key element was to establish the terms under which the owners of the selling company, who were running the clinic, would cooperate with the new owner, while continuing to manage the clinic.

The incorporation of the dental clinic into one of the largest medical groups in Poland constitutes not only a new chapter in the clinic’s development but also a challenge for its current owners.
