JGA acted as an advisor in the sale transaction of “PROFI-LINGUA” sp. z o.o.

The JGA team advised the sellers, Mr. Maciej Jaglarz and Mr. Krzysztof Jaglarz, in the sale transaction of shares in “Profi-Lingua” sp. z o.o. – one of the largest foreign language school networks in Poland. The acquiring entity of this educational center was Wydawnictwa Szkolne i Pedagogiczne S.A., headquartered in Warsaw. The foreign language school “Profi-Lingua” was founded in 1991 by Mr. Maciej Jaglarz and Mr. Krzysztof Jaglarz, and until the completion of the transaction, it was directly managed by them. In the course of 20 years of operation, “Profi-Lingua” became one of the most recognised brands in the market and one of the largest language teaching centres in Poland.

The sale transaction of “Profi-Lingua” sp. z o.o. was carried out in multiple stages, and its finalisation took place in the first quarter of 2016. The scope of JGA’s advisory services included transaction structuring and negotiation of transactional documentation, including the preliminary share purchase agreement and the promised agreement.
