Lawyers from JGA Legal and Tax Advisory acted as legal advisors to managers in the management buyout process of ZABERD S.A., a company based in Wrocław. The management buyout involved the acquisition of a controlling interest in ZABERD S.A. by key managers of the company from the Avallon fund, which thereby exited its investment in ZABERD S.A.
As part of the buyout transaction, JGA provided advisory services in structuring the transaction, rendering legal advice related to securing external financing for the acquisition of the controlling interest in ZABERD S.A. (including negotiating a loan agreement with a consortium of banks), rendering legal advice in the buyout transaction itself, and advisory services related to further restructuring processes aimed at achieving the desired structure.
